Terms & Conditions
Effective date: 14 December 2025
These Terms govern the use of the arooj.qa website and all professional services offered by AROOJ TRADING & TECH SOLUTIONS L.L.C. ("AROOJ"). By accessing our site or engaging our services, you agree to these Terms and to any written Statement of Work (SOW) executed between the parties.
1. Scope of services
We deliver consulting, design, engineering, hosting, support, and managed services as defined in the applicable Statement of Work (SOW). Changes to scope require written agreement and may impact fees or timelines.
2. Client responsibilities
- Provide timely access to stakeholders, content, and systems needed to deliver the services.
- Review and approve deliverables within five (5) business days unless another deadline is agreed.
- Confirm that materials you supply do not infringe third-party rights or violate applicable laws.
3. Fees & payment
Fees are invoiced as set out in the SOW or subscription plan. Unless otherwise specified, invoices are payable within thirty (30) days. Late payments may incur financing charges of 1.5% per month or the maximum permitted by Qatari law. Fees exclude taxes, bank fees, and government levies.
4. Intellectual property
AROOJ retains ownership of pre-existing methodologies, tools, and frameworks. Upon full payment, you receive a perpetual, worldwide license to the bespoke deliverables produced for your project, unless the SOW defines a different licensing model.
5. Confidentiality
Each party shall protect the other's confidential information with at least the same degree of care it uses for its own. These obligations survive termination for five (5) years or indefinitely for trade secrets and personal data.
6. Data protection & security
Each party complies with Qatar PDP Law, the GDPR where applicable, and other relevant regulations. Security incidents affecting client data are reported without undue delay, along with containment and remediation steps.
7. Limitation of liability
Neither party is liable for indirect, incidental, or consequential damages. AROOJ's aggregate liability under these Terms is limited to the fees paid for the particular services giving rise to the claim in the preceding twelve (12) months. Nothing limits liability for fraud, gross negligence, or wilful misconduct.
8. Force majeure
Neither party is responsible for delays or failures caused by events beyond reasonable control, including acts of God, government restrictions, pandemics, or major infrastructure disruptions.
9. Termination
Either party may terminate with thirty (30) days' written notice or immediately for a material breach not cured within ten (10) days. Upon termination, the client pays for services provided up to the effective date.
10. Governing law & disputes
These Terms are governed by the laws of the State of Qatar. Disputes are submitted to the exclusive jurisdiction of Qatari courts or, where the SOW specifies, arbitration under Qatari or ICC rules.
